1. What You're Agreeing To
You are entering into a Merchant Partner Agreement with Sir Coupon, operated by Jeffrey Mitchell LLC ("Sir Coupon," "we," or "us"). This Agreement governs how coupons are promoted and redeemed through the SirCoupon platform, and how both parties may use each other's intellectual property and data.
2. Duration & Termination
This Agreement runs indefinitely until cancelled. You may terminate with 7 business days' written notice to Sir Coupon. Sir Coupon may terminate at any time with written notice. Sir Coupon may also amend these Terms with 30 days' written notice — if you do not agree to a change, you may cancel penalty-free before the change takes effect.
⚠️ After termination, you must still honor every coupon already distributed to customers, at no less than the customer's original purchase price.
3. Intellectual Property Rights
By signing, you grant Sir Coupon a worldwide, royalty-free, perpetual licence to use your business name, logos, and marketing materials to promote your offers across any media channel, including SMS, Apple Wallet, web, and social media.
Sir Coupon retains full ownership of its website, SMS short codes, trademarks, platform technology, and all related intellectual property. You may not challenge these rights or use Sir Coupon's brand assets in your own advertising without prior written approval, and never in a way that implies Sir Coupon endorses your business specifically.
4. Customer Data — Ownership, Use & Privacy Compliance
Sir Coupon owns all consumer data collected through the platform, including but not limited to phone numbers, redemption history, behavioral data, and any other personal information as defined under applicable law ("Consumer Data"). You acknowledge that Sir Coupon acts as a "business" under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), and that you act as a "service provider" with respect to any Consumer Data shared with you solely for the purpose of fulfilling your obligations under this Agreement.
Prohibited uses of Consumer Data. You agree that you will not, directly or indirectly:
- Sell, rent, lease, share, disclose, or otherwise transfer Consumer Data to any third party for any purpose, monetary or otherwise;
- Use Consumer Data for any purpose other than performing the services contemplated by this Agreement (e.g., redeeming coupons presented by customers at your location);
- Combine Consumer Data with personal information collected from any other source, including your own customer databases, without Sir Coupon's prior written consent;
- Use Consumer Data for cross-context behavioral advertising, profiling, or any automated decision-making;
- Retain Consumer Data after the termination or expiration of this Agreement — all Consumer Data must be promptly deleted or returned to Sir Coupon upon request.
Consumer rights. If a consumer exercises any right under the CCPA/CPRA — including the right to know, delete, correct, or opt out of sale/sharing — and contacts you directly in connection with data obtained through the SirCoupon platform, you agree to notify Sir Coupon within five (5) business days and cooperate fully in fulfilling that request.
Data security. You agree to implement and maintain reasonable and appropriate technical and organizational safeguards to protect any Consumer Data in your possession against unauthorized access, disclosure, alteration, or destruction. In the event of an actual or suspected data breach involving Consumer Data, you agree to notify Sir Coupon in writing within forty-eight (48) hours of becoming aware of the incident.
5. Your Indemnification Responsibilities
You agree to defend and reimburse Sir Coupon for any losses arising from:
- Your breach of this Agreement
- Sales tax, use tax, or unclaimed-property claims related to unredeemed coupons (these are your responsibility)
- Legal issues relating to your products or services (including product defects or personal injury claims)
- Misuse or unauthorized disclosure of customer data
6. Liability Limitation
Neither party is liable for indirect, incidental, or consequential damages. Sir Coupon's total liability to you is capped at the fees it retained from your account in the six months preceding a claim.
7. Confidentiality
The commercial terms of your merchant offering — including pricing, discount rates, and campaign structure — are confidential. You may only share these details with employees or advisors who have a direct need to know, and you must ensure they are bound by equivalent confidentiality obligations.
8. Relationship of Parties
You and Sir Coupon are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship, or agency relationship between the parties.
9. Assignment
You may not transfer or assign this Agreement without Sir Coupon's prior written consent. Sir Coupon may assign this Agreement to an affiliate or successor without prior notice to you.
10. Entire Agreement & Severability
This Agreement, together with the Terms & Conditions and Terms of Service, constitutes the entire agreement between the parties and supersedes all prior verbal or written understandings. If any provision is found invalid by a court, the remaining provisions continue in full force.
Governing law: New York and federal law govern this Agreement.
